4. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information necessary for the provision of services
• Reviewing and approving deliverables in a timely manner
• Providing feedback and making decisions in a timely manner
• Ensuring they have the necessary rights to use any content, materials, or intellectual property provided to Maitreya Labs
• Making payments according to the agreed-upon payment schedule
• Complying with all applicable laws and regulations

5. Payment Terms

Payment terms will be specified in the agreement or statement of work provided to the Client. Unless otherwise specified:

• A deposit may be required before work begins
• Payment is due upon receipt of invoice
• Late payments may incur additional fees
• Maitreya Labs reserves the right to suspend services if payments are not made according to the agreed-upon schedule

6. Intellectual Property

Unless otherwise specified in a separate agreement:

• Maitreya Labs retains ownership of all intellectual property created during the provision of services until full payment is received
• Upon full payment, the Client will receive a license to use the deliverables for their intended purpose
• Maitreya Labs reserves the right to use the work created for the Client in its portfolio and marketing materials
• The Client is responsible for ensuring they have the necessary rights to use any content, materials, or intellectual property provided to Maitreya Labs

7. Confidentiality

Maitreya Labs agrees to keep confidential all information provided by the Client that is marked as confidential or that would reasonably be understood to be confidential. The Client agrees to keep confidential all proprietary information, methodologies, and processes disclosed by Maitreya Labs during the provision of services.

8. Limitation of Liability

To the maximum extent permitted by law, Maitreya Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party

In no event shall Maitreya Labs' total liability to you for all claims exceed the amount paid by you to Maitreya Labs for the services in question.

9. Termination

Either party may terminate the service agreement with written notice if:

• The other party breaches any material term of the agreement and fails to remedy the breach within 14 days of receiving notice
• The other party becomes insolvent, enters into administration, or is unable to pay its debts as they fall due

Upon termination:

• The Client shall pay for all services provided up to the date of termination
• Maitreya Labs shall deliver all completed work to the Client upon receipt of full payment
• Any provisions that by their nature should survive termination shall survive termination

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in India.

11. Changes to Terms and Conditions

Maitreya Labs reserves the right to modify these Terms and Conditions at any time. We will provide notice of any material changes by posting the updated Terms and Conditions on our website. Your continued use of our services after such modifications will constitute your acknowledgment and agreement to the modified Terms and Conditions.
